Limited Partnership

Formation of Limited Partnership

A limited partnership may be formed to carry on any business that a partnership without limited partners may carry on. A limited partnership shall consist of one or more persons who are general partners and one or more persons who are limited partners.

1. Reserve a Limited Partnership Name
  • Fill out and submit the Application for Name Reservation form, along with the $40 fee.
  • Corporate Affairs will reserve the name if it complies with the Naming Regulation requirements. If the name does not comply, a new application and the associated fee will be required. Visit the Guidelines page for more information on how to choose a name.
  • A Certificate of Name Reservation will be issued within 5 business days, if approved.
  • After you’ve received the Certificate of Name Reservation, you may proceed with compiling and completing the required documents. If the required documents are not received by our office prior to the expiry date on the Certificate of Name Reservation, a new Application for Name Reservation and a $40 fee will be required to be resubmitted and approved before you can submit your documents.
  • The Application for Name Reservation maybe dropped off in person, mailed, faxed or emailed to our office. Please do not include credit card information in your email, but instead provide a phone number where we may contact you for payment.
2. Certificate of Limited Partnership
  • Submit the following
  • The Certificate and Notice of Registered Office of Limited Partnership should be submitted in duplicate and must be legible. The originally signed copy is required.
  • The documents will be filed by our office within 10 business days of receipt of the completed documentation.
  • After 10 business days, you may access the Yukon Corporate Online Registry to see if your documents have been accepted and filed. You will be receiving a confirmation by mail.
  • The documents may be dropped off in person or mailed to our office.

Amendments

An amendment to a certificate is not effective until a revised form of certificate, incorporating the amendment and certified as correct, is filed with the registrar - $100

Extra-Territorial Limited Partnership

Registration of Extra-Territorial Limited Partnership

A limited partnership formed outside the Yukon may carry on business in the Yukon if it is registered under section 79 of the Yukon Partnership & Business Names Act. A limited partnership registered under section 79 has rights and privileges the same as but not greater than, and is subject to the same duties, restrictions, penalties, and liabilities as are imposed on, a limited partnership formed under section 50.

2. Application for Registration 
  • Submit the following 
    • Application for Registration of Limited Partnership Formed Outside of Yukon
    • Notice of Registered Office of Limited Partnership
    • A true copy of the original certificate of limited partnership or equivalent document and of all amendments to it verified by the proper authority of the jurisdiction in which the limited partnership was formed
    • Evidence to the satisfaction of the registrar that the limited partnership still exists as a limited partnership in the jurisdiction where it was formed
    • $300 fee.
    The application and notice should be submitted in duplicate and must be legible.
  • The documents will be filed by our office within 10 business days of receipt of duly completed documentation.
  • After 10 business days, you may access the Yukon Corporate Online Registry to see if your documents have been accepted and filed. You will be receiving a confirmation by mail.
  • The documents may be dropped off in person or mailed to our office.
