The Canadian Securities Administrators are publishing CSA Notice and Request for Comment on the Proposed Repeal of Multilateral Instrument 52-109 Certification of Disclosure in Issuers’ Annual and Interim Filings, related forms and companion policy 52-109CP and their replacement with Proposed National Instrument 52-109 Certification of Disclosure in Issuers’ Annual and Interim Filings, related forms, companion policy 52-109CP and consequential amendments to Form 51-102F1 Management's Discussion and Analysis.

CEO & CFO of venture issuers not required to certify the effectiveness of disclosure controls or internal control over financial reporting. Increased transition period for the scope limitation for acquisitions. Control framework required by non-venture issuers for internal control over financial reporting. CSA Notice and Request for Comment on Proposed National Policy 12-203 Cease Trade Orders for Continuous Disclosure Defaults
This policy provides guidance about ordinary responses by the CSA to certain types of continuous disclosure defaults.

Canadian Securities Regulators Propose Changes to Prospectus and Registration Exemptions, and Resale Restrictions
The Canadian Securities Administrators are publishing CSA Notice and Request for Comment on published proposed changes to National Instrument 45-106 Prospectus and Registration Exemptions (NI 45-106) and National Instrument 45-102 Resale of Securities.
Changes to NI 45-106 and NI 45-102 are designed to:
improve the effectiveness of the rules by clarifying provisions of the instruments codifying discretionary exemptions and streamline and harmonizing requirements in the instruments.
Key features:
NI 45-106 has been restructured as a result of the implementation of National Instrument 31-103 Registration Requirements (NI 31-103). NI 31-103 contemplates the adoption of a business trigger for registration rendering several NI 45-106 registration exemptions redundant.
Under Business Triggers:
prospectus exemptions will be separated from the registration exemptions in NI 45-106 In the future all registration exemptions applicable to those “in the business of trading in or advising on securities” will be located in NI 31-103. The registration exemptions currently in NI 45-106 will remain as they will continue to be applicable in British Columbia, Manitoba and New Brunswick. Comment Period Expires: May 29, 2008
