Incorporating a Yukon Corporation

Before incorporating in the Yukon, you must choose a name for the corporation. A corporate name must be searched through NUANS, and approved by Corporate Affairs' staff. Alternately, the Registrar may assign a numbered name.

The following forms must be completed and filed with Corporate Affairs:


Form 1-01 - Articles of Incorporation

  1. Name of Corporation — must be set out in block letters, and must be the exact approved or designated name.
  2. The classes and any maximum number of shares — Shares of Yukon corporations do not have a par value. If there are two or more classes of shares, the special rights, privileges and restrictions attached to each type of share must be provided.
  3. Restrictions if any on share transfers — this section may say "none", otherwise, all restrictions should be noted.
  4. Number (min. or max.) of directors — this is up to the discretion of the shareholders, but the minimum is 1.
  5. Restrictions if any on business the Corporation may carry on — Under the Yukon Act, some restrictions apply. Any other voluntary restrictions should be noted.
  6. Other provisions if any — entirely discretionary.
  7. Incorporator(s) — by definition, an incorporator is a person who signs articles of incorporation. An incorporator may also be appointed as a director, but does not have to be.

Form 1.02 - Notice of Address

Form 1.02 is used for all changes to the address of a Yukon Corporation.

  1. Name of Corporation
  2. Address of Registered Office — The registered office of a Yukon Corporation must be in the Yukon. This office must be accessible to the public during normal business hours. This address cannot be a postal box.
    An Extra-Territorial Corporation may have a registered office inside or outside of the Yukon.
  3. Records Address — If a Yukon corporation has a Records address separate from the Registered office, the physical location inside the Yukon must be noted here. This address must also be accessible to the public during normal business hours.
  4. Post Office Box — address for service by mail. The mailing address of a Yukon corporation may only be within the Yukon.
  5. Signature — this may be the incorporator (on incorporation only), a director, office or agent of the corporation.

Form 1-03 - Notice of Directors and Officer

Form 1.03 is used for all additions to and deletions from the list of directors of a corporation.

  1. Name of Corporation
  2. Notice to Appoint a Director — Directors are added on, as of a certain date. They will remain directors until they are removed by a resolution of the shareholders.
  3. Notice to Cease a Director — In this section, Directors are removed as of a certain date.
  4. The Officers of a Corporation — A director may hold an office, but an officer does not have to be a director.

Please note: Directors of Yukon corporations must be 19 years of age.
