Exemptions and Exemption Orders

In some cases the company does not need to prepare and submit prospectus to raise money from the public when it relies on an exemption from prospectus requirements.

Most common exemptions include:

1) Accredited Investor Exemption
The company can raise money from wealthy individuals and certain qualified entities which are financially sophisticated and/or can sustain losses. The trade has to be reported with the Securities Office within 10 days.

2) Minimum Amount Investment Exemptions
The company can sell shares to anybody who invest at least $150,000 paid in cash at the time of trade. The trade has to be reported with the Securities Office within 10 days.

3) Offering Memorandum Exemption
